Corporate compliance isn't about filing paperwork for the sake of it. It's about making sure your corporation's legal records actually reflect what has happened, and what is happening, in your business.

Before we can get started, we need you to provide us with information about your corporation.

This questionnaire is an intake form. It gives us the information we need to understand where your corporation currently stands, recommend the membership level that actually fits it, and prepare your Legal Services Agreement so we can take over ongoing corporate compliance properly.

How The Process Works

Step 1: Complete The Intake Questionnaire

You provide information about your corporation, its history, and how you have handled ongoing compliance to date. This gives us the factual context we need to open your file accurately and without guesswork.

Step 2: Intake Review By A Corporate Lawyer

A corporate Lawyer reviews your intake questionnaire submission to understand your corporation's current state, note any timing or filing considerations, and prepare the file for onboarding.

Step 3: Legal Services Agreement & Retainer

We send you a Legal Services Agreement and request the retainer. Once you sign and fund it, we formally open your file and begin work.

Step 4: Ongoing Corporate Compliance Begins

We take responsibility for your corporation's ongoing legal maintenance. We track deadlines, prepare annual returns and resolutions when required, update records as decisions are made, and provide steady legal oversight as your business evolves.

Getting Clarity Does Not Require Disruption

Many corporations end up partially maintained, maintained inconsistently, or handled by different professionals over time. That's normal.

Completing the questionnaire does not force a change, uncover problems you must immediately fix, or require you to move your corporate work to us. It simply allows us to understand the current state of your records so you can make informed decisions on your own timeline.

Ongoing Legal Support

At the Counsel and In-House levels, a Lawyer reads through your corporate records once a year and tells you what needs attention. You also get lawyer time included, so you can ask about a hire, a contract, or a new shareholder when it comes up, rather than putting it off and paying more to sort it out later.

Paperwork Done
Registered$600/yr

Compliance, handled. Every year, a corporation has to file with the registry and record its decisions in writing. This is us doing that for you, on time, without you thinking about it.

Includes:

  • Kahane Law Office as your registered office and records office, so government notices and legal documents come to us instead of getting lost at your place of business
  • Your annual return filed with the corporate registry on time, filing fee included
  • The yearly resolutions that put your decisions on the record, dividends included, written up and sent to you as one signing package
  • An online minute book you can log into any time, holding every corporate document you have, ready to download whenever a bank or an accountant asks for one
  • A yearly check-in where we show you what we have on file for the company and you tell us what has changed

If you need anything beyond that yearly work, a question answered, a contract written, a shareholder added, we quote it before we start so you always know the cost first. Members at Counsel and above get 15% off that work.

Lawyer On Call
In-House$5,000/yr

Your legal department. For a business that is hiring people, signing customers, and bringing in shareholders, and needs a lawyer often enough that calling one should not feel like a decision.

Includes:

  • Everything in Counsel
  • Reuse any contract we write for you, as often as you like. Every contract we build goes into an online builder on your portal. Next time you hire someone or sign a client, you answer a few questions and it produces a fresh copy, on your own, in minutes, at no extra cost
  • When the law changes, we fix your contracts. We rewrite the ones affected and update your builder, without being asked and at no charge, so what you hand people never quietly goes out of date
  • One brand new contract and one rewrite of an existing one each year, so your set keeps up with the business
  • Ask a lawyer a question without opening a file. Phone or email, and you get an answer at no charge. If the answer turns out to need real research or a document drafted, we tell you that first and quote it
  • Three hours of lawyer time a year, for anything you want, and any hours you do not use come off next year's invoice

Bigger jobs are quoted before we start: bringing in a new shareholder, putting a shareholders' agreement in place, raising money, or dealing with a dispute. Your three hours come off that bill first, and the 15% member discount applies to the rest. We also offer a check-in every quarter, which you are free to skip.

Under the Business Corporations Act your corporation has to file an annual return, keep its records at a records office, and put the year's decisions into resolutions. Let enough of it lapse and the registry can strike the corporation from the register.

What A Gap Costs Later

Nobody asks to see your corporate records until a bank is lending you money, someone is buying the business, or CRA is auditing. That is the worst moment to find out a few years of decisions were never written down, because now it has to be pieced back together, at your cost, on somebody else's deadline.
