Incorporation Lawyers In Alberta
Start your business on a solid legal foundation, with the key decisions thought through before anything gets filed.
Start Incorporation QuestionnaireWhy We Start With An Incorporation Questionnaire
Incorporation is not just paperwork. It involves real legal decisions about ownership, control, share structure, and how your business will operate as it grows. Those decisions are inexpensive to get right at the outset and costly to unwind later, and most owners never find out one was wrong until it starts to matter.
The questionnaire is how we work through them properly, before your corporation is registered. It lets us understand your business, raise anything that looks like a problem while it is still easy to fix, and apply legal judgment where it actually changes the outcome.
It takes most people about 15–20 minutes, and there is guidance built in, so you don't need every answer perfectly polished before you begin. The process runs online: you complete it wherever you are, sign electronically, and we deliver your corporate documents to your own client portal.
How The Incorporation Process Works
Step 1: Complete The Incorporation Questionnaire
Answer the key questions about ownership, control, and structure so we can build the corporation correctly from the start, with fewer follow-ups and no guesswork.
Step 2: Lawyer Review & Structure Check
We review your responses with legal judgment, flag what matters, and identify any issues that should be addressed before anything is registered.
Step 3: Legal Services Agreement, Retainer, & Initial Consult (Complete / Launch)
We prepare the Legal Services Agreement for the package you selected. If you chose Complete or Launch, this step also includes a consultation before anything is submitted.
Step 4: Corporation Registered
We register the corporation, prepare your minute book, and deliver the documents you'll need to operate confidently and keep your records in order.
Incorporation Pricing
The corporation, done right. The rest is up to you. Built for a founder who is comfortable running their own corporate admin.
Includes:
- Lawyer-designed share structure
- NUANS name report and Alberta registration (registry fees included)
- Articles, bylaws, and organizational resolutions
- A digital minute book holding your incorporation documents, organized
Foundation covers setting the corporation up, and stops there. You provide your own registered and records office address rather than using ours, there is no consultation with a Lawyer at this level, and the yearly upkeep that begins on your first anniversary is priced separately when you get there.
Incorporated, and carried for your entire first year. What most founders choose.
Includes:
- Everything in Foundation
- One year of Kahane Law Office as your registered office and records office
- Your digital minute book kept live on the platform, current and e-signed
- 30 minute initial consultation with a Lawyer
Everything your corporation needs to exist for a full year. The first anniversary renewal, meaning the annual return, the annual resolutions, and your next year of offices, is handled by a Corporate Membership, and we bring it to you a month before it is due.
Fully papered, with In-House counsel for year one. Built for multi-shareholder startups and founders who want hands-on counsel from the start.
Includes:
- Everything in Complete
- A library of core business contracts, built with you. We work out which agreements your business actually needs, draft them around how you operate rather than handing you a generic form, and put them in a builder on your portal. From then on you produce a new copy yourself whenever you hire someone or sign a client
- Your first year of In-House membership, the full envelope from day one
The Launch Framework Library
This part is bespoke. We sit down with you, work out which agreements your business will actually use and what they need to say, then draft them around how you operate. Once they are built they live in a builder on your portal, where you fill in the blanks and produce a new copy yourself each time you need one, without a Lawyer touching it.
The agreements we most often build at this stage:
- Employment contract
- Independent contractor agreement
- Service or product contract
- Non-disclosure and confidentiality agreement
- Privacy policy and website terms of use
- Intellectual property assignment, for founders and contractors assigning work into the corporation
- Shareholder loan agreement
- Unanimous Shareholders' Agreement, where your share structure calls for one
NOTE: Prices include disbursements where indicated, but do not include GST.
Your corporation's first annual return and resolutions come due on its first anniversary. That upkeep is handled by our Corporate Memberships.
What Submitting The Questionnaire Does Not Do
Completing the questionnaire:
- Does not register a corporation
- Does not obligate you to proceed
- Does not lock you into a structure
This step lets us review your information and outline next steps before anything is filed.

Most people complete it in about 15–20 minutes if they have their basic information handy. The questions are focused on ownership, control, and structure, not busywork. Guidance is built in to help you understand what's being asked and why, so you're not guessing blindly as you go.
That's very common, especially for first-time incorporators. You don't need to have everything perfectly figured out. The questionnaire is designed to flag areas where structure choices matter, so we can identify what needs attention before anything is registered. Any legal advice or discussion beyond that depends on the package you select.
The corporation is only registered after we review your questionnaire, confirm the appropriate structure and pricing, and you sign the Legal Services Agreement and provide the retainer. Nothing is filed automatically or prematurely, registration happens only once everything is confirmed.
No. Submitting the questionnaire does not obligate you to proceed. It allows us to review your information, identify any issues, and outline the appropriate next steps. You remain in control of whether and how you move forward after that review.
